The rate
10% of the ex works price the producer sets. It comes out of that price. It is never added on top of it. The buyer pays exactly the number you set, and your invoice to them is for exactly that number.
A worked example, with round figures for clarity. You set an ex works price of twenty thousand dollars for a consignment. The buyer is quoted twenty thousand dollars, is invoiced twenty thousand dollars by you, and pays you twenty thousand dollars. Once that payment has cleared, we invoice you two thousand dollars. Your net is eighteen thousand. Nothing was added to the buyer's price, and nothing left your account before the buyer's money arrived in it.
The commission is calculated on the ex works value of the goods only. Freight, insurance, duties, bank charges, inspection fees and any other cost passed through at cost are excluded from the calculation. We are not paid a percentage of your freight bill.
When it is earned
Only once the order has shipped and the producer has been paid. Both conditions, not one. An introduction that produces a warm conversation earns nothing. A purchase order that is never shipped earns nothing. A shipment the buyer does not pay for earns nothing, and if a buyer partially pays, commission applies only to the amount actually received.
If a buyer defaults after paying and later reclaims funds, the commission on the reclaimed amount is refundable. That clause exists because the alternative is a producer bearing a loss while their agent keeps a fee on money that no longer exists, and no producer should accept that arrangement from anyone.
What you never pay
- No retainer and no monthly fee.
- No listing, onboarding or setup fee.
- No charge for market research, buyer sourcing or introductions.
- No charge for an introduction that does not convert, however much work it took.
- No minimum term and no minimum volume commitment.
- No exclusivity, so no penalty for selling through any other channel.
You do pay your own costs: samples and the courier to send them, your own certificates and testing, your packaging, and your production. Those were always yours and no agency arrangement changes them.
The terms around the rate
- Agreed in writing first. The rate, the basis, the payment trigger and the term are agreed before we introduce anyone. A disclosed agency that discloses after the order is not disclosed.
- Non exclusive, both ways. You keep every channel you have and may appoint other agents. We represent other producers, including in the same category, and we will tell you if there is a conflict rather than let you find out.
- You are the seller. You set the price, you accept or refuse any order, you own the specification and you issue the invoice. We have no authority to bind you to anything.
- Invoicing. We invoice after your payment has cleared, with the order and the payment identified on the invoice, on fourteen day terms.
- Ending it. Either side may end the arrangement in writing. Commission still applies to orders already in train from an introduction we made. After that the relationship is yours, with no continuing claim from us.
- GST. Commission is currently invoiced without GST. If that changes, the invoice will show it and this page will change with it.

One thing this page cannot tell you
Whether it works. We have not shipped for anyone yet, so no producer has ever been invoiced under these terms. That is set out with everything else in the producer side of the model and the mechanics are on how an introduction actually runs. The terms are structured so that a first producer risks time rather than money, which is the only fair way for a new agency to ask.
